Subject: Comment on proposed rule S7-16-07

August 31, 2007

Dear Chairman Cox:

I understand that Shareholder Resolutions may add time and cost to the management of corporations. However, as an investor, I do NOT want my rights curtailed when it comes to being able to raise important social and environmental issues to the companies I support.

Please do not curtail investors' rights to file advisory resolutions under Rule 14a-8.

American Citizens are feeling more and more dis-empowered -- and restrictions on Resolutions will be just another proof that they are, in fact, losing some of their rights.

Please let me know what action you intend to take on this issue.

Yours sincerely,

Virginia Nicols
