Subject: File Number S7-15-10

October 27, 2010

I am an insurance agent and also a registered rep. Recently, I read the newly proposed regulations regarding 12b-1 fees. Although I agree with part of the wording, I am opposed to certain parts of it.

I don't believe it is in the best interests of the consumer or the industry to allow broker-dealers to set up their own sales charge and commissions. Smaller investors particularly will be hurt in this sort of situation. Since our firm works mainly with middle class consumers, I feel that the proposed 12b-1 regs would greatly hinder the relationship with our customers.

Thank you.
