Rule 13d-3 should not be allowed. Only share holders should have the right to vote. 


By allowing derivatives holders the same power as a share owner you are enabling true share holders voices to be ignored. 


Example you your self own the stock, but someone who does not own the stock but simply buys many options and leverages them 100 times can out vote you without putting any real skin in the game and just leave there position after moving the company in the direction they wanted without really ever owning any shares. 


This looks like manipulation of company without owning it and should not be allowed.
