As an international investor, I am writing to express my support for the proposed amendments to Rule 3b-16 under the Securities Exchange Act of 1934 and the related amendments to regulations for ATSs that trade government securities and repurchase agreements. These amendments are crucial in ensuring that tokenized securities are subjected to the same regulatory requirements as traditional securities, to prevent abuse by bad actors such as hedge funds and market makers operating off unregulated exchanges or in dark pools for their own personal benefit without any regulatory oversight or enforcement.

The proposed amendments demonstrate the SEC's commitment to investor protection and the promotion of fair and transparent markets. Failure to implement these rules as proposed would greatly damage the confidence of the international investment community in the fairness of US-based exchanges and investor protection bodies.

It is important that the SEC continues to ensure that all participants in the market are subject to the same regulatory requirements, regardless of the asset class being traded. This will not only promote fair competition and market transparency, but also ensure the protection of investors' interests and prevent fraudulent activities.
