As a household investor, I object to Proposed Rule S7-01-23,  which exempts non-reporting companies from registering certain securities offerings if they are sold exclusively to accredited investors.  
This proposed rule does not adequately protect household investors, as it significantly reduces information available to us. This lack of transparency makes it difficult to make informed decisions. It could easily be exploited by manipulative, nefarious hedge funds. Historically speaking, we have witnessed an inordinate amount of nefarious behavior by such hedge funds. 
If the goal of the SEC is truly to make markets more transparent, there needs to be NO exemptions to the rules for any market participants.  
Worldwide faith in the US Market is low. This proposal would be yet another nail in the coffin.
