Dear Sec, 


This proposal makes it clear to exempt non-reporting companies from registering certain securities offerings under the Securities Act if they are sold to accredited investors.  


This rule does not protect the interests of regular Joe's, household investors. Because it will severely decrease the amount of information available to them.  


For the great matter of importance that is transparency in our markets it is strongly suggested that this is an ill advised step in the wrong direction with no merit for the people who are not at an advantage to exploit said proposal as many hedge funds are likely to do.  


This is a solid no from me, this benefits no one who is not already beneficiary to current market regulations and will hurt retail investors through lack of information/potential losses as well, in closing. These hedge funds have a history of market manipulation.  


Let us not open yet another door for them to attempt such malpractices. In no form should this proposal pass through to allow such things.
