Item 1.01.
Entry into a Material Definitive Agreement.

On March 19, 2024, Barnes Group Inc. (“Barnes”) entered into a Refinancing Amendment (Amendment No. 2) (the “Amendment”), by and among Barnes, Barnes Group Switzerland GmbH, a limited liability company (Gesellschaft mit beschränkter Haftung) organized under the laws of Switzerland, Barnes Group Acquisition GmbH, a limited liability company (Gesellschaft mit beschränkter Haftung) incorporated under the laws of Germany, the lenders party thereto from time to time and Bank of America, N.A., as administrative agent and as collateral agent, which amended Barnes’ Credit Agreement, dated as of August 31, 2023 (as previously amended by that certain Amendment No. 1, dated as of February 6, 2024, and as otherwise amended, amended and restated, supplemented or otherwise modified, the “Credit Agreement”).

Pursuant to the Amendment, the outstanding $648,375,000 principal amount of term loans under the Credit Agreement (the “Existing Term Loans”) were replaced with an equal amount of new term loans (the “New Term Loans”) having substantially similar terms as the Existing Term Loans, except with respect the interest rate applicable to the New Term Loans and certain other provisions.  Proceeds from the New Term Loans were used to refinance the Existing Term Loans.

The interest rate margin applicable to the New Term Loans was reduced to 1.50%, in the case of ABR loans, and 2.50%, in the case of Term SOFR loans (with the Term SOFR floor remaining at 0.0%).  The interest rate margin applicable to the Existing Term Loans was 2.00%, in the case of ABR loans, and 3.00%, in the case of Term SOFR loans.  In addition, the Term SOFR adjustment applicable to the New Term Loans was reduced to 0.00%.  The Term SOFR adjustment applicable to the Existing Term Loans was 0.10%.  The maturity of the New Term Loans remains unchanged at August 31, 2030.

BofA Securities, Inc., Citizens Bank, N.A., JPMorgan Chase Bank, N.A., Wells Fargo Securities, LLC, PNC Bank, National Association, TD Securities (USA) LLC and Truist Securities, Inc. served as joint lead arrangers and joint bookrunners, and Wachtell, Lipton, Rosen & Katz acted as legal advisor to Barnes on the transaction.
