Item 1.01 Entry into a Material Definitive Agreement.

On January 18, 2006, the Human Resources Committee (the "Committee") of the Board of Directors of Trinity Industries, Inc. The "Company") established goals and a bonus formula for the annual incentive program for fiscal year 2006. For fiscal year 2006, the Committee established performance measures for executive officers based on certain profitability metrics and return on capital employed.
