ITEM 7.01 Regulation FD Disclosure.

On March 10, 2005, the Registrant issued a press release announcing that the United States Attorney’s office in Newark, New Jersey had advised counsel for the Registrant that the United States Attorney will not proceed with any further criminal investigation or charges against the Registrant or its Breeze-Eastern division, and that the Registrant is looking forward to resolving the civil aspects of the investigation. The press release is attached hereto as Exhibit 99.1.
