Item 7.01. Regulation FD Disclosure

     On October 10, 2006, Transcontinental Gas Pipe Line Corporation (the “Company”) announced the expiration of its offer to exchange all of its outstanding 6.40% Senior Notes due 2016 for newly registered 6.40% Senior Notes due 2016. One hundred percent of the outstanding notes were tendered for exchange. The terms of the new notes are substantially similar to the terms of the outstanding notes, except that the new notes will be registered under the Securities Act of 1933, as amended. A copy of the Company’s press release announcing the same is attached as Exhibit 99.1.
