PART III – NARRATIVE

 

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

NYFIX, Inc. (the “Company”) was unable to timely file its Quarterly Report on Form 10-Q for the three-month period ended June 30, 2007, which was due August 9, 2007 (the “Q2 2007 Report”), because the Company (1) has only recently completed its Quarterly Reports on Form 10-Q for the interim periods ended March 31, 2006, June 30, 2006 and September 30, 2006 and its Annual Report on Form 10-K for the year ended December 31, 2006, and (2) needs to prepare and file its Quarterly Report on Form 10-Q for the interim period ended March 31, 2007 (the “Q1 2007 Report”), prior to filing the Q2 2007 Report.

Also, as a result of the Company’s need to prepare and file the Q1 2007 Report, the Company will be unable to file the Q2 2007 Report within the five-day extension provided by Rule 12b-25. The Company will file the Q2 2007 Report as soon as practicable following the resolution of the foregoing matters.

The Company is currently unable to estimate with specificity the change, if any, in results of operations from the period ended June 30, 2006 due to the significant amount of preparation remaining as described in Part III above. However, the Company does expect to report losses for the period ended June 30, 2007 when it ultimately reports.
