EXPLANATORY NOTE
 
This Amendment No. 1 on Form 8-K/A is filed solely to include the pro forma financial information called for by Item 9.01(b) of the Current Report on Form 8-K filed by NYFIX, Inc. (the “Company”) on August 31, 2006 (the “Initial Filing”). At the time that the Initial Filing was made, the pro forma financial information included herewith was unavailable.

(b) Unaudited Pro Forma Financial Information

The following unaudited pro forma financial information is set forth on pages F-1 through F-4 of this Current Report on Form 8-K/A.

In connection with the previously reported sale of its NYFIX Overseas, Inc. subsidiary, the Company has prepared the following unaudited pro forma condensed consolidated financial statements which are based on its historical consolidated financial statements.
 
The unaudited pro forma condensed consolidated balance sheet at June 30, 2006 has been prepared to reflect the sale of NYFIX Overseas, Inc. as if the transaction had occurred on June 30, 2006. The unaudited pro forma condensed consolidated statements of operations for the six months ended June 30, 2006 and the fiscal year ended December 31, 2005 have been prepared to present the results of the Company’s continuing operations as if the transaction had occurred on January 1, 2005.
 
The following unaudited pro forma condensed consolidated financial statements should be read in conjunction with the Company’s consolidated financial statements and notes thereto in its Annual Report on Form 10-K for the year ended December 31, 2005 and Quarterly Report on Form 10-Q for the period ended June 30, 2006. The adjustments necessary to fairly present these unaudited pro forma condensed consolidated financial statements are described in the accompanying notes. The adjustments have been made based on available information and in the opinion of management are reasonable. The unaudited pro forma condensed consolidated financial statements are presented for illustrative purposes only, do not necessarily reflect the actual results that would have occurred had the sale occurred on the assumed dates and are not necessarily indicative of future results of operations of the Company after the completion of the transaction.
