Item 8.01.    Other Events.
 
On May 17, 2006, NYFIX, Inc. received a grand jury subpoena from the United States Attorney’s Office for the Southern District of New York. The subpoena calls for the production of all documents referring to, relating to or involving the granting of stock options for the time period from 2000 to the present. NYFIX, Inc. intends to cooperate fully with the United States Attorney’s Office in this matter.
