Item 8.01.   Other Events.

As previously  disclosed by the Company,  the Securities and Exchange Commission
has been  conducting  an  informal  inquiry  in  connection  with the  Company's
restatement  in May  2004  of  its  1999  through  2002  consolidated  financial
statements. The Company understands that the matter is now a formal inquiry.
