ITEM 1.01.  ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

Effective January 1, 2005,  NYFIX,  Inc. (the "Company")  executed the Executive
Agreement  between the Company and Jay  Shaffer,  pursuant to which Mr.  Shaffer
became the Company's Executive Vice President - Finance and Administration.  Mr.
Shaffer's  annual base salary is $325,000  and he is receiving a grant of 75,000
options to purchase the Company's  common stock with 25,000  options  vesting on
January 1, 2006,  20,000 on January 1, 2007,  and 15,000 each on January 1, 2008
and  January 1, 2009.  On January 3, 2005,  the Company  issued a press  release
regarding its hiring of Mr.  Shaffer.  This press release is attached as Exhibit
99.1.
