Item 5.     Other Events and Required FD Disclosure.
            ---------------------------------------

            On May 17, 2004,  NYFIX,  Inc.  announced  its results for the first
quarter ended March 31, 2004, the restatement of prior financial  statements and
other  matters.  The full text of the press release was attached as Exhibit 99.1
to the Form 8-K filed by NYFIX, Inc. on May 17, 2004. In the press release which
was issued,  the last sentence in the first  paragraph  under the heading "First
Quarter  Results"  refers to a net loss of $2.3 million ($0.07 per common share)
for the fourth  quarter of 2004.  The reference to the "fourth  quarter of 2004"
should have been to "the fourth quarter of 2003."
