ITEM 8.01 Other Events.

C. R. Bard Inc. (the “company”) today announced it has entered into an agreement to settle the previously disclosed legal action entitled Rochester Medical Corporation, Inc. v. C. R. Bard, Inc., et al. (Civil Action No. 304 CV 060, United States District Court, Eastern District of Texas). Under the terms of the agreement, the suit against the company will be dismissed with prejudice and the company will pay $49 million to Rochester Medical Corporation. In connection with the settlement, the company will record a pre-tax charge of $49 million in the fourth quarter of 2006.
