ITEM 8.01 Other Events.

C. R. Bard, Inc. (the “company”) today announced it has settled the previously disclosed legal action entitled Sakharam D. Mahurkar v. C. R. Bard, Inc., Bard Access Systems, Inc. and Bard Healthcare, Inc. (Civil Action No. 01 C 8452, United States District Court, Northern District of Illinois), and certain other related legal actions, in which the plaintiff alleged infringement by the company of one or more of the claims of several of the plaintiff’s patents for dialysis catheters. Under the terms of the settlement, the company will pay $20 million to settle the litigation, acquire a paid-up license under the patents involved in the actions and obtain a covenant not to sue with respect to the company’s existing products. In connection with the settlement, the company will record a pre-tax charge of $20 million in the third quarter of 2006.
