                                 NARRATIVE

         State below in reasonable detail the reasons why Form 10-K, 11-K,
20-F, 10-Q, N-SAR or the transition report portion thereof could not be
filed within the prescribed time period. (Attach extra sheets if needed)

         The annual report on Form 10-K for the fiscal year ended November
30, 2001 of Tokheim Corporation (the "Company") was delayed. The appraisers
for the Retirement Savings Plan for Employees of Tokheim Corporation and
Subsidiaries (the "Plan") rely on information contained in the Form 10-K in
order to value the preferred stock under the Plan. Because of the delay in
filing the Form 10-K of the Company, the appraisers for the Plan have been
unable to value the preferred stock under the Plan. As a result, the Plan
has been unable to complete preparation of its financial statements. The
Plan expects to complete preparation of its financial statements and file
its annual report on Form 11-K as soon as reasonably practicable.
