Item 7.01 Regulation FD Disclosure
As previously announced, Thermo Fisher Scientific Inc. (the “Company” or “Thermo Fisher”) will host a virtual Investor Meeting today. The virtual format will feature presentations by members of Thermo Fisher's senior management team, including expectations for future performance, and conclude with a Q&A session. The materials presented at the Investor Meeting can be found on Thermo Fisher’s website, at www.thermofisher.com, by clicking on “Investors.” At the Investor Meeting, among other topics, Stephen Williamson, Senior Vice President and Chief Financial Officer, will provide the Company’s expectations for future financial performance based on currently available information, including expected 2022 revenue of $40.3 billion and adjusted EPS of $21.16. Actual results could be different from these estimates given the uncertainty that continues to exist in the marketplace. Use of Non-GAAP Financial Measures
In addition to financial measures prepared in accordance with generally accepted accounting principles (GAAP), we use certain non-GAAP financial measures, including adjusted EPS. Adjusted EPS is GAAP earnings per share, excluding certain acquisition-related costs, including charges for the sale of inventories revalued at the date of acquisition and significant transaction costs; restructuring and other costs/income; amortization of acquisition-related intangible assets; certain other gains and losses that are either isolated or cannot be expected to occur again with any predictability; tax provisions/benefits related to the previous items; and the impact of significant tax audits or events. We exclude the above items because they are outside of our normal operations and are difficult to forecast accurately. We believe that the use of non-GAAP measures helps investors to gain a better understanding of our operating results and future prospects, consistent with how management measures and forecasts the company's performance.
