Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On May 17, 2021, Terex Corporation (the “Company”) and Kieran Hegarty, President Terex Materials Processing entered into a letter agreement (the “Agreement”) in connection with his assignment and relocation to Schaffhausen, Switzerland. His annual base salary will be £373,458 and his bonus target will continue to be 75% of his annual base salary. He will also remain an eligible participant in the Terex long-term incentive program. Mr. Hegarty will receive the Company’s standard relocation and expatriate package, with payments or allowances for related expenses including the difference in cost of living, housing, transportation, tuition reimbursement and tax equalization. It is anticipated that his assignment in Switzerland will commence August 1, 2021 and that it will end by August 31, 2023.
