Our press release dated May 11, 2009 regarding our first quarter 2009 consolidated results is furnished as Exhibit 99.1 to this report.

Item 8.01 Other Events.

We hosted our first quarter 2009 earnings conference call and webcast on Tuesday, May 11, 2009 at 11:00 a.m. Eastern Time. Via the webcast, we presented our First Quarter 2009 Investor Presentation, which contained a summary of our financial results for the quarter and in which we discussed certain proposals to be presented to a vote of shareholders at our 2009 annual meeting, including the previously announced recapitalization proposal and the election of directors. The First Quarter 2009 Investor Presentation will be posted on our website, www.tecumseh.com, through at least May 12, 2010 and is being filed herewith as Exhibit 99.2 to this Form 8-K in compliance with Rule 425 of the Securities Act of 1933, as amended, and is hereby incorporated into this Item 8.01.
