Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
     On February 21, 2009, Dr. Peter Banks and David Risley, two members of our board of directors, advised the company that they would not be standing for re-election to the board of directors at the 2009 annual meeting of shareholders.
Item 8.01   Other Events.
     On February 25, 2009, we issued a press release announcing our intention of presenting a recapitalization proposal for shareholder approval at the 2009 annual meeting, our slate of nominees for election as directors at the 2009 annual meeting of shareholders, our receipt of notification by the Herrick Foundation of its intent to run a competing slate of nominees for election at the 2009 annual meeting of shareholders and certain other matters related to the foregoing. A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated into this Item 8.01 by reference.
     In connection with the proposed recapitalization, the election of directors and any other matters to be presented at the annual meeting, Tecumseh Product Company plans to file documents with the Securities and Exchange Commission, including filing a proxy statement/prospectus on Form S-4 regarding the proposed transaction, the election of directors and any other matters to be presented at the annual meeting. Investors and security holders of Tecumseh Products Company are urged to carefully read the document when it is available, because it will contain important information about the proposed transaction.
