                                   NARRATIVE

     State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-
K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could
not be filed within the prescribed time period.

          The registrant requires additional time to close its books. As
     discussed in a Current Report on Form 8-K dated March 22, 2007, TMT Motoco,
     the registrant's Brazil-based engine manufacturing subsidiary, filed a
     request in Brazil for court permission to pursue a judicial restructuring.
     The requested protection under Brazilian bankruptcy law is similar to a
     U.S. filing for Chapter 11 protection in that during such a restructuring
     TMT Motoco would remain in possession of its assets; however, certain
     decisions regarding the disposition of its assets are subject to court
     approval. As a result, the company needs additional time to evaluate the
     impact of this restructuring effort on its consolidated financial
     statements.

     If so, attach an explanation of the anticipated change, both narratively

estimate of the results cannot be made.

          The registrant expects its consolidated net loss from continuing
     operations for the quarter ended March 31, 2007 to be greater than the
     first quarter of 2006. Income realized from the sale of a subsidiary in
     2006 will not recur in the same period of 2007. The remainder of the
     decline is due primarily to higher interest expense in 2007, as well as a
     lower tax benefit recorded against the loss from continuing operations in
     2007. Because the registrant has not completed closing its books, it cannot
     provide a reasonable quantitative estimate of its results at this time.
