Description of business and going concern: The Company was a manufacturer of baking and confectionery products, which were sold to supermarkets, food distributors, educational institutions, restaurants, mail order and to the public. Although the Company sold its products throughout the United States, its main customer base was on the East Coast of the United States. The Company has now become a holder and licensor of intellectual property. During the years ended December 31, 2011 and 2010, the Company incurred losses from continuing operations in the amount of $21,598 and $63,343, respectively, and as of December 31, 2011 had a net working capital deficiency of $45,859.
