Stockholder Meeting Notice Smith Micro Software, Inc. Annual Meeting of Stockholders will be held on June 15, 2017 at 51 Columbia, Aliso Viejo, CA 92656, at 10:00 a.m. Pacific Time. Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations. The Board of Directors recommends a vote FOR all nominees, FOR Proposals 2 and 3 and FOR One Year on Proposal 4: 1. Election of Directors. 2 “Say-on-Pay” Proposal. Advisory vote to approve the compensation of named executive officers.  3.  Ratification of the appointment of SingerLewak LLP as the independent registered public accounting firm of the Company for the fiscal year ending December 31, 2017. 4. “Say-on-Frequency” Proposal.
