Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective April 26, 2011, Jonathan Kahn was terminated from his position as Executive Vice President and General Manager for Productivity & Graphics of Smith Micro Software, Inc. The Company is currently negotiating a severance package with Mr. Kahn.
