Each share of Class B Common Stock is convertible into one share of Class A Common Stock at the option of the holder and has no expiration date. The DERs vest in a series of three (3) equal installments on the dates that are thirteen (13), twenty-four (24) and thirty-six (36) months following the date of grant.
