Item 5.07

Submission of Matters to a Vote of Security Holders.


PSB Holdings, Inc. (the “Company”) previously reported the voting results from its 2013 Annual Meeting of Shareholders on Form 8-K filed April 18, 2013.  At a meeting of the Board of Directors (the “Board”) of the Company held on May 21, 2013, the Board determined that the Company will include non-binding shareholder advisory votes on the compensation of executives as required by Section 14A(a)(2) of the Securities Exchange Act of 1934 in its proxy materials once every three years until such time as the Board determines that a different frequency is in the best interest of the Company and its shareholders.
