Item 1.01. Entry into a Material Definitive Agreement.

     On December 4, 2007, Alseres Pharmaceuticals, Inc., a Delaware corporation (the “Company”), entered into Amendment No. 8 (“Amendment No. 8”) to its Manufacturing Agreement with MDS Nordion, Inc., dated as of August 9, 2000 (the “Manufacturing Agreement”).

     Pursuant to Amendment No. 8, the Company and MDS Nordion have agreed to extend the term of the Manufacturing Agreement to the earlier of (A) approval by the Food and Drug Administration of the Company’s new drug application for the ALTROPANE^® molecular imaging agent for Parkinson’s Disease and (B) December 31, 2008.

     A complete copy of Amendment No. 8 is filed herewith as Exhibit 10.1 and is incorporated herein by reference. The foregoing description of the Amendment No. 8 does not purport to be complete and is qualified in its entirety by reference to such exhibit.
