Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On April 2, 2008, Stephen W. Leach resigned as Vice President, Coffee for Diedrich Coffee, Inc. (the “Company”), effective April 30, 2008. In connection with his resignation, Mr. Leach and the Company are presently engaged in discussions regarding a separation agreement, the terms of which have not been finalized. Mr. Leach’s resignation did not involve any disagreements with the Company.

In addition, on April 2, 2008, Steven G. Heyman resigned as Vice President, Sales for the Company, effective April 4, 2008. Mr. Heyman’s resignation did not involve any disagreements with the Company.
