Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 11, 2007, Matthew C. McGuinness resigned as Executive Vice President of Development of Diedrich Coffee, Inc. (the “Company”), effective May 25, 2007. In connection with his resignation, Mr. McGuinness and the Company are presently engaged in discussions regarding a separation agreement, the terms of which have not been finalized. Mr. McGuinness’s resignation did not involve any disagreement with the Company.
