ITEM 7.01          Regulation FD Disclosure.

On December 21, 2023, Arch Financial Holdings (UK) Limited, a subsidiary of Arch Capital Group Ltd., signed a definitive agreement to sell Castel Underwriting Agencies Limited, a managing general underwriting platform headquartered in London, England, to a subsidiary of Ryan Specialty Holdings, Inc. The sale is expected to close during the first half of 2024, subject to regulatory approvals and the satisfaction of customary closing conditions.
