Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 14, 2008, Richard Morris was appointed Chief Accounting Officer and will serve as the principal accounting officer of ViroPharma Incorporated. Vincent Milano previously served a the Company’s principal accounting officer in his capacity as Chief Financial Officer, however he relinquished this role following his promotion to Chief Executive Officer, President and Chief Financial Officer.

Mr. Morris, age 34, has served as the Company’s Controller since 2005 and prior thereto, served as Accounting Manager after joining the Company in 2001. Prior to joining the Company, he was with KPMG LLP. Mr. Morris received his Bachelor of Science in Accounting from Saint Joseph’s University in 1996 and has been a CPA since 1999.
