     Item 1.01. Entry into a Material Definitive Agreement.
     On June 6, 2006, Denbury Resources Inc. (the “Company”) promoted James H. Sinclair to Vice President, Exploration and Geosciences from the position of Vice President, Exploration. On the same date, the Compensation Committee of the Board of Directors of the Company approved an increase in the base salaries of James H. Sinclair and Mark C. Allen, Vice President and Chief Accounting Officer, to a yearly rate of $230,000 per year effective June 1, 2006.
