Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 14, 2009, the Board of Directors (the "Board") of IXYS Corporation ("IXYS") restructured the organization. It appointed Uzi Sasson the President of IXYS. Dr. Nathan Zommer continues to be the Chairman of the Board and Chief Executive Officer of IXYS. The Board eliminated the position of President of European Operations and directed that each European division report to the President and the Chairman of the Board of IXYS. Peter H. Ingram, the former President of European Operations, will remain with IXYS as an executive of IXYS Semiconductor GmbH, but is no longer an executive officer of IXYS.
