Item 1.01 Entry into a Material Definitive Agreement.

On June 5, 2009, the Board of Directors of IXYS Corporation ("IXYS") approved the adoption of the 2009 Equity Incentive Plan, under which 900,000 shares of the common stock of IXYS will be reserved for the grant of stock options.
