Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As of September 13, 2007, the Compensation Committee (the "Committee") of the Board of Directors of IXYS Corporation (the "Company") awarded Uzi Sasson, the Chief Operating Officer and Chief Financial Officer of the Company, a cash bonus of $140,000, payable immediately.

In authorizing the bonus, the Committee approved the following statement: "The Committee believes that Uzi Sasson deserves a cash bonus in reflection of his actions as an agent of change, his exceptional efforts on behalf of the Company, his performance as Chief Financial Officer and his assumption of the duties of Chief Operating Officer."
