Item 1.01 Entry into a Material Definitive Agreement.

On November 18, 2005, the Board of Directors of IXYS Corporation ("IXYS") awarded 1,250 shares of Common Stock without restriction to each of the following directors: Donald Feucht, Samuel Kory, Joon Lee and Kenneth Wong.
