Item 1.01 Entry into a Material Definitive Agreement.

On June 23, 2005, Clare Micronix Integrated Systems, Inc. ("Micronix"), a wholly owned indirect subsidiary of IXYS Corporation (the "Company"), became contractually bound to purchase its principal facility, which is currently leased. Under the agreement between Micronix and 145 Family Ltd. Partnership, Micronix agreed to pay $5,115,000 for the property at 145 Columbia in Aliso Viejo, California. Pursuant to the agreement, Micronix deposited $100,000 into escrow upon the signing of the agreement. The $100,000 deposit will constitute liquidated damages in the event of a default by Micronix prior to closing. The purchase price will be funded from the Company’s cash.
