Clare, Inc., a subsidiary of the registrant, was sued in Massachusetts state court over a dispute between it and LoJack Corporation relating to a contract for the design, development and purchase of application specific integrated circuits and assemblies. On February 8, 2006, the jury found that Clare, Inc. was liable for damages in the amount of $36.7 million (the “Jury Award”). The registrant requires additional time to evaluate the accounting impact of the Jury Award, as well as related pre-judgment interest and attorneys’ fees, before filing its Quarterly Report on Form 10-Q for the quarter ended December 31, 2005 (the “10-Q”).

Because of the requirement to book a reserve for a potential loss, the registrant expects that the results of operations for the quarter ended December 31, 2005 will be negatively affected by the Jury Award and the related pre-judgment interest and attorneys’ fees, and will reflect a loss as compared to the net income for the quarter ended December 31, 2004. As the Jury Award occurred the day before the filing deadline for the 10-Q, the registrant has not yet had sufficient time to accurately determine the quantitative impact of the Jury Award and the related pre-judgment interest and attorneys’ fees on the registrant’s results of operations for the quarter ended December 31, 2005.
