Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On April 18, 2005, Charles B. Graves notified Bell Industries, Inc. (the "Company") of his decision not to stand for re-election to the Board of Directors of the Company at its 2005 Annual Meeting of Shareholders and to resign as a director, effective May 24, 2005, due to the increasing demands on his time as the Chief Executive Officer at Connor Sport Court International. Connor Sport Court International was recently formed by the merger of Sport Court, Inc. and Connor Sports Flooring.
