*On July 1, 2011, Eureka, Inc., an Oregon corporation (“Merger Sub”), merged (the “Merger”) with and into EnergyConnect Group, Inc., an Oregon corporation (the “Company”), pursuant to that certain Agreement and Plan of Merger, dated as of March 2, 2011, by and among Johnson Controls Holding Company, Inc., a Delaware corporation and the parent of Merger Sub (“Parent”), Merger Sub and the Company. The Company is the surviving corporation in the Merger and is a wholly-owned subsidiary of Parent.
