     Microfield has been diligently preparing its records for the Company's public accountants and for compliance with SEC regulations. The Company has transitioned from an S-B filer to an S-K filer and is now an accelerated filer. This process has required allocations of additional resources and time to assure accurate and complete record keeping and disclosures.

     We anticipate revenues to increase from $57,935,000 to $76,141,000 over the twelve-month period ended December 31, 2005 and December 30, 2006, respectively.
      
      We anticipate our net income (loss) to change from a net loss of ($77,953,000) to a net income of $833,000 over the twelve-month period ended December 31, 2005 and December 30, 2006, respectively.
      
      We anticipate earnings per share to change from a loss of $2.88 per share to net income per share of approximately $0.01 over the twelve-month period ended December 31, 2005 and December 30, 2006, respectively.
