ITEM 3.02.   Unregistered Sale of Equity Securities
     This current report on Form 8-K/A is being filed to supplement certain information reported in the Company’s current report on Form 8-K filed on October 11, 2005, which is incorporated herein by reference.
     The Company previously disclosed that it paid a fee to Capstone Investments, its placement agent in the private placement, which included a warrant agreement for 177,144 shares of common stock at an exercise price of $0.90 per share. The information regarding the number of shares underlying warrant was misstated. The warrant agreement is for 491,829 shares of common stock at an exercise price of $0.90 per share.
