Part III

The Company has recently experienced a change in management and in its certifying accountants, which has delayed the preparation and filing of the Company’s 2004 Annual Report on SEC Form 10-KSB, and the 2005 Quarterly Report on SEC Form 10-QSB. The accounting and preparation of the financial statements cannot be completed on time for filing on May 17, 2005 without unreasonable effort and expense.
