Item 8.01. Other Events.

The Board of Directors of Civista Bancshares, Inc., Sandusky, Ohio has approved a quarterly dividend of 16 cents per common share to shareholders of record November 7, 2023, payable November 21, 2023. A copy of the press release is attached hereto as Exhibit 99.1.

Civista Bancshares, Inc. Declares Fourth Quarter Common Dividend

Sandusky, Ohio, October 26, 2023 /PRNewswire/– Civista Bancshares, Inc. (NASDAQ:CIVB) (“Civista”) announced today that the Board of Directors has approved a quarterly dividend of 16 cents per common share to shareholders of record November 7, 2023, payable November 21, 2023.

This dividend represents a payout of approximately $2.5 million. Based on the Civista’s closing stock price of common shares of $15.14 on October 24, 2023, the quarterly dividend produces an annualized yield of 4.23%.
