Item 8.01. Other Events.

The Board of Directors of First Citizens Banc Corp, Sandusky, Ohio has approved a quarterly cash dividend of $16.25 per share ($0.40625 per depository share) on its 6.5% Noncumulative Redeemable Convertible Perpetual Preferred Shares, Series B (the “Series B Preferred Shares”) payable on June 15, 2015 to shareholders of record as of May 19, 2015. The dividend on the Series B Preferred Shares is for the dividend period from March 16, 2015 to, but excluding, June 15, 2015.

First Citizens Banc Corp is a $1.4 billion financial holding company headquartered in Sandusky, Ohio. The Company’s banking subsidiary, Civista Bank, operates 28 locations in North Central, Central and Southwestern, Ohio.
