Item 8.01 – Other Events

On March 19, 2015, an article was published by Mergermarket regarding possible strategic initiatives involving First Citizens Banc Corp (the “Company”). Among other items, the article referenced the possibility of the Company engaging in a capital raise to fund additional acquisitions, and also identified certain characteristics that the Company may consider when evaluating future acquisition candidates. While the Company continually evaluates various strategic opportunities, the Company has no definitive plans and is not involved in any current negotiations regarding any capital raises or acquisitions at this time.
