Item 8.01 Other Events

On June 24, 2005, First Citizens Banc Corp announced plans to merge one of its banking affiliates, First Citizens Bank, into its other banking affiliate, The Citizens Banking Company. This move is directly related to efforts to decrease operating costs. Where practical and with regulatory approval, the name First Citizens Bank will continue to be used as a trade name in the First Citizens Bank markets. The date of the merger is tentatively set for October 15, 2005.
